How to Participate ?

TERMS AND CONDITIONS
- 1.0 Acceptance
- 1.1 These Rules and Terms of Service comprises the complete Agreement and Contract between you ("user") and Axe in relation to the service/s provided by Axe on the mobile phone on the number 09987333333 and on www.theaxeeffect.co.in hereinafter referred to as “Axe”. This supersedes all previous agreements, contracts and communication (oral or written). By answering the IVR question on the number 09987333333 correctly & by entering the unique 9 digit code as specified on the sticker of the Axe Can, you bind yourselves to the provisions of these Terms & conditions of service.
- 2.0 Definitions
- 2.1 “Axe” and “Promoter” shall mean the company, corporation, firm, individual or association of persons currently administering, providing content for, maintaining and otherwise managing the Site and every employee of Hindustan Unilever Limited (“HUL”), and its advertising agent or agents for the time being and their employees, and every consultant, advisor and associate of Axe and their respective employees.
- 2.2 "Contest" means the contest for participation in the Axe Boat Party.
- 2.3 "Contract", "Agreement" and "Terms of Service" refer to the terms and conditions herein set forth.
- 2.4 "Employee" means every person working in any capacity for Axe as defined hereinabove and includes every member of his family and every person residing in his household as a member of his family.
- 2.5 "Hosting", with all its grammatical variations, means and includes the provision of Services by Axe at the site and subject always to the provisions of the Contract.
- 2.6 "Personal Information" means all information about the user provided to Axe via on-line forms at the site or by any other means of communication, whether electronic, oral or written.
- 2.7 "Site" with all its grammatical variations refers to the web site hosted on the Internet/World Wide Web with the address of http://www.theaxeeffect.co.in such other address as may periodically be assigned to or adopted by Axe.
- 2.8 "Services" means what Axe offers the user, on an "as-is" and "when available" basis, i.e., the opportunity to be a part of the Axe Boat Party as organised by Axe. 2.11 "Winning" with all its grammatical variations means the opportunity to participate in the Axe Boat Party, as organised by Axe.
- 3.0 Interpretation
- 3.1 Words conveying the singular shall, where required or appropriate be deemed to mean and include the plural. Words conveying the feminine gender shall be deemed to mean and include the masculine gender.
- 3.2 The decision of Axe as to the interpretation of any Clause of this Agreement shall be final and binding on the user.
- 4.0 Consideration for Service - In consideration for this Service, the User hereby:
- 4.1 agrees to provide Axe such current, complete, and accurate information about the User ("Personal Information") as may be required by Axe via the Site or on the phone.
- 4.2 agrees to maintain and update this information as required to keep it current, complete and accurate.
- 5.0 Right of Modification, Termination and Discontinuance
- 5.1 At all times, Axe shall have the absolute right to modify, discontinue or terminate the Service without notice to the User.
- 5.2 is expressly agreed and understood by the User that Axe shall not be liable to the User or to any third party for such modification, discontinuance or termination.
- 6.0 Right of Termination of Membership
- 6.1 If, in the sole opinion of Axe, the reasons where for Axe shall not be bound to disclose, the User has contravened, committed hacking or committed breach of any of the terms of this Agreement, Axe shall be entitled, without any notice, to terminate the user’s participation in this contest.
- 6.2 It is expressly agreed and understood by the User that any breach or default by the User of any of the provisions of this Agreement shall result in the immediate cancellation of his participation in the contest.
- 6.3 Axe and its employees shall at no time be in any way liable or responsible to the User or to any other person for any such cancellation of his participation, provided that, Axe shall be entitled to all its rights and remedies against the User for any loss or damage or prejudice that may have been caused to Axe on account of any such breach or default by the User.
- 7.0 Indemnity by User
- 7.1 The User agrees and undertakes to indemnify and hereby indemnifies and keeps safe and harmless Axe from all loss, claim, demand, damage, costs, charges (including legal fees and charges) or prejudice that may be caused on account of the User's use of the Service offered by Axe at the site or on phone, or for breach of this Agreement and the terms and conditions herein.
- 7.2 The User agrees that his participation in the Axe Boat Party is voluntary. The User understands the gratification of this participation, and agrees that HUL shall not be liable for any loss, claim, demand, damage or liability which may arise out of the participation of the User in the Axe Boat Party.
- 7.3 Axe urges responsible participation from all users. Hence the service must not be used with a malicious intent.
- 7.4 The User understands and agrees that he shall conduct himself responsibly and ethically while participating in the Axe Boat Party, and shall not indulge in any unfair, unethical, immoral, or perverse conduct. In the event, and under the sole discretion of Axe, if the participant is found to have violated the above obligation, then Axe shall be within its rights to immediately cancel the right of participation of the User, and withdraw him from the premises. This does not, in any manner, waive the other rights and remedies available to Axe for such incidence.
- 8.0 Contest Mechanics

(b) There shall be a total of 26 winners selected from amongst the registered users on the basis given conditions. Each winner will get the opportunity of participating in the boat party along with one companion. - 8.2 The closing date for completion of the enrolment process is 23.59 on 3rd May 2014
- 8.3 The winners will be chosen from the master list of people who have completed the IVR and entered the slogan, with the correct unique 9 digit code as specified in the IVR.
- 8.4 Winners will be responsible for ensuring they have a valid identity proof at the time of travel. The venues at which the Axe Boat Party is to be held reserve the right to refuse entry to participants for any reason, and Axe and Promoter shall have no liability whatsoever in this regard.
- 8.5 as a part of the Winner’s award, Axe shall also pay for and facilitate the pick up of the winners from their residence to the airport, their commutation in Goa through their duration of stay specifically for the party, and their return flight ticket. It would also include their accommodation and meals during their stay in the hotel, and the right to avail the facilities provided by Axe during the Axe Boat Party.
- 8.6 The winners will be notified by telephone/ sms (or email if provided) within [15] days of being ascertained. Two winners would be announced every week starting 1st week of February 2014. The winners must claim their prize within 7 days of the notification. If the prize is unclaimed after this time, it will lapse and the Promoter reserves the right to offer the unclaimed prize to a substitute winner selected in accordance with the promotion rules.

- 8.8 The winners may be required to participate in publicity arising from this promotion, including (without limitation) the filming of their participation at the Axe Boat Party and the dissemination of such materials in any media channel throughout the world. All copyright in such material shall solely vest with Hindustan Unilever Limited.
- 8.9 This promotion is open to Indian citizens residing in India and who are aged 18 years or more. By entering the promotion, all entrants represent that they are 18 years or more of age. The entrants shall be required to satisfy the Promoter about their age, if so required. It is further deemed that the entrants have accepted and shall be bound by the rules and consent to the transfer of their personal data to the Data Controller for the purposes of the administration of this promotion and any other purposes to which the entrant has consented. All entry instructions form part of the rules. Axe reserves the right to exclude a participant where it has reasonable grounds to believe the participant is in breach of, or is attempting to breach, these rules.
- 8.10 In the event of any dispute the decision of Axe and Promoter is final. No correspondence will be entertained in this regard.
- 8.11 Axe reserves the right to substitute the prize for an alternative or alternatives (in cash or in kind) as may be determined by Axe.
- 8.12 These Terms and Conditions and any issues or disputes which may arise out of or in connection with these Terms and Conditions (whether such disputes or issues are contractual or non-contractual in nature, such as claims in tort, for breach of statute or regulation or otherwise) shall be governed by and construed in accordance with Indian laws. Entrants hereby irrevocably submit to the exclusive jurisdiction of the Mumbai courts to settle any such dispute or issues. [COMMENT: This is contrary to the arbitration clause]

- 9.1 The contest is valid only from 1st February 2014 to 3rd May 2014
- 9.2 Every Contest hosted by Axe shall also be subject to any local, state, central, federal or community laws regarding the same applicable to every user.
- 9.3 In order to be eligible to win a prize, participants must answer all questions correctly on the IVR set on 09987333333 (either when the user calls himself or is called by Axe), Incomplete entries (without the mandatory particulars) will be automatically disqualified
- 9.4 Proof of submission of contest entries shall not constitute proof of receipt.
- 9.5 Axe reserves the right to determine the manner through which the User shall be gratified, and the manner of communication / participation in the Boat Party.
- 9.6 Verification of identity is necessary for participation in the Axe Boat Party (i.e. valid photo Identity Card must be shown). All winners will be contacted by Axe via telephone to confirm their Age, Address & identity.
- 9.7 Acceptance of prizes constitutes perpetual permission to the organizer to use the winner's name, relevant details and/or photographs for purposes of publicity, advertising and/or trade without further compensation or notice throughout the world.
- 9.8 Axe reserves the right to use the names, photographs & other personal details of the participants in any publicity and/ or promotion it issues in conjunction with the Axe promotions.

- 9.14 Employees of Hindustan Unilever Ltd. (HUL), its associate companies, its advertising and promotional agencies and its auditor’s, and their family members are not eligible to participate in this promotion.
- 9.15 One individual (with a unique mobile phone number) is eligible only for one prize.
- 9.16 HUL reserves the right to cancel, modify, extend or withdraw the promotion at its sole and absolute discretion.
- 9.17 Local call charges at applicable rates shall apply and shall be borne by the user. HUL will not be liable in case of any network problems.
- 9.18 Prizes are non-transferable and no cash payment in lieu of prizes will be made.
- 9.19 HUL shall not be responsible for any loss, injury or any other liability arising out of the offer.
- 9.20 HUL shall not be liable for any loss or damage due to act of God, governmental actions, other force majeure circumstances and shall not be liable to pay any amount as compensation or otherwise for any other such loss.
- 9.21 Responsibility is not accepted for entries lost, damaged or delayed as a result of any network, computer hardware or software failure of any kind. Proof of sending will not be accepted as proof of receipt.
- 10 Disclaimer and Limitation of Liability - Subject to any local, State, Federal or other applicable statute -
- 10.1 All warranties of any kind whatsoever, whether express or implied, are hereby expressly disclaimed by Axe including, but not limited to, meeting of the Member's requirements or aspirations, timeliness, security, uninterruptedness, error-free, the results or reliability of the Contest, or the delivery, quality, quantity, merchantability, fitness for use or non infringement in respect of any goods, services, emoluments, benefits or awards acquired or obtained through the Service or any transactions effected through the Service.
- 10.2 The User expressly agrees that this use of the Service provided by Axe is at the member's sole risk and is governed by the terms of this Agreement.
- 10.3 No advice or information, whether by representations oral, written or pictorial derived from the Site/ Phone or through the Service shall be construed to mean the giving of any warranty of any kind by Axe.
- 10.4 At no time shall Axe be liable to the user or to any third party for the acts of omission or commission hosted by Axe on the Site/ phone or for any direct, indirect, incidental, consequential or foreseeable loss, damage, injury, harm, prejudice or costs that that may arise or be caused to the user by his use of the Service offered by Axe at the Site or by termination of membership [?] as provided herein.
- 10.5 At no time shall HUL or Unilever be liable for any Force Majeure event beyond its control, which prevents the Axe Boat Party from occurring, which may include reasons like, but not limited to, weather conditions, fire, flood, strike, hurricane, industrial dispute, war, hostilities, political unrest, riots, civil commotion, inevitable accidents, acts of God, or governmental permissions, technical complexities, safety permissions/ issues, or the like with respect to the Axe Boat Party
- 10.6 The participants also agree to receive future communication from HUL with respect to any promotions, offers, or surveys in connection to its brands and products, without any further permission from the participants.
- 11.0 Arbitration
- 11.1 All disputes and differences relating to or arising out of this Agreement shall be referred to the Sole Arbitration of a person nominated by Axe and the provisions of the Arbitration and Conciliation Act, 1996 will apply to such arbitral proceedings. Seat of arbitration shall be Mumbai. /li>
- 12.0 Copyright
- 12.1 Unless otherwise specifically noted, the copyright in all images, text and material on the Site belongs to and vests in Axe.
- 12.2 Unauthorized reproduction of any text, image or other material without the prior written permission of Axe, in any form whether printed or electronic, is strictly prohibited and violations will be prosecuted to the full extent of the law.
- 13.0 Applicable Law and Jurisdiction
- 13.1 All users into the site undertake to abide by all the laws of the land.
- 13.2 This Agreement shall be deemed to have been entered into Bombay (Mumbai), India and the courts in Bombay (Mumbai) alone will have exclusive jurisdiction to entertain any proceedings in any way relating to or concerning this Agreement or any rights, duties, obligations or liabilities arising there under to the exclusion of all other courts in India.
